4. Services and Quotations

4.1 Quotations

Any quotation provided by us is an estimate only and is valid for 30 days from the date of issue unless otherwise stated. Quotations are subject to change based on the final scope of work agreed upon.

4.2 Scope of Work

All services will be delivered in accordance with a written agreement or statement of work. Any work outside the agreed scope will be subject to additional charges, which will be communicated and agreed upon before work commences.

4.3 Client Responsibilities

You agree to provide all necessary content, materials, access credentials, feedback, and approvals in a timely manner. Delays caused by the client may affect project timelines and may incur additional charges.

4.4 Third-Party Services

Our work may involve the use of third-party tools, platforms, or services (e.g., hosting providers, domain registrars, plugin licences). Costs for these services are separate from our fees unless explicitly included in a quotation. We are not responsible for outages, changes in pricing, or policy changes by third-party providers.

5. Payment Terms

  • A deposit of 50% of the total project cost is required before work commences, unless otherwise agreed in writing.
  • The remaining balance is due upon project completion, prior to the final handover or go-live.
  • For ongoing services (maintenance, SEO, marketing), invoices are issued monthly and are payable within 14 days of the invoice date.
  • All prices are quoted in GBP and are exclusive of VAT unless stated otherwise.
  • Late payments may be subject to interest at the rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Project Delivery and Revisions

  • We will make reasonable efforts to deliver projects within the agreed timeline. However, timelines are estimates and are not guaranteed.
  • Unless otherwise specified, each project includes up to two rounds of revisions. Additional revisions may incur extra charges.
  • Final approval and sign-off by the client is required before a project is considered complete.

7. Ownership and Licences

  • Upon receipt of full payment, ownership of the custom work created for your project (such as custom designs, custom code, and custom content we have written) will transfer to you.
  • Third-party components (e.g., themes, plugins, stock images, fonts) remain subject to their respective licences.
  • We reserve the right to display the completed project in our portfolio and marketing materials unless you request otherwise in writing.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from or related to our services shall not exceed the total amount you paid to us for the specific service giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
  • We are not liable for any losses arising from errors in content or materials provided by the client.
  • We are not responsible for any downtime, security breaches, or data loss caused by third-party hosting, platform, or software providers.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vioscale Technologies Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our website or services.
  • Your breach of these Terms.
  • Content, materials, or data you provide to us that infringes the intellectual property or other rights of a third party.

10. Cancellation and Termination

  • Either party may terminate a project agreement by providing written notice. If you cancel a project after work has commenced, you are responsible for payment of all work completed up to the date of cancellation.
  • The deposit is non-refundable once work has begun.
  • We reserve the right to suspend or terminate services if payment is overdue by more than 14 days.
  • For ongoing services, either party may terminate with 30 days' written notice.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes but is not limited to business strategies, login credentials, financial information, and trade secrets. This obligation survives the termination of any agreement.

12. Force Majeure

We shall not be held liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, power failure, internet outages, or government action.

13. Website Disclaimer

The information on this website is provided for general information purposes only. While we endeavour to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information, products, services, or related graphics contained on the website.
